Acceptance
By accessing or using Buddee's website, apps, and related services (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. We may change these Terms at any time by posting an updated version; your continued use after the effective date constitutes acceptance. Material changes may require additional notice where required by law.
What Buddee is (and is not)
Buddee is a technology and ordering intermediary. We help you discover, compare, and in some cases submit a grocery order on your behalf with a retailer you select. Buddee is not your grocery store, not your delivery carrier, and does not pick, pack, stock, or transport products. Groceries, substitutions, pickup or delivery windows, food safety, weights, packaging, and in-store promotions are the responsibility of the retailer and its fulfillment partners, except as expressly stated in these Terms or where mandatory law provides otherwise.
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Buddee beyond the limited role of facilitating your use of the Service and, where applicable, transmitting your order and payment instructions.
Two ways to buy
Compare and checkout on the retailer
For many flows, Buddee displays information and links so you can complete purchase, payment, and fulfillment directly with the retailer or its platform. Those transactions are governed solely by the retailer's terms, privacy policy, and policies. Buddee is not a party to those contracts.
Pay through Buddee (assisted checkout)
Where we offer payment through Buddee, you authorize Buddee and its payment processors to charge your payment method for amounts communicated at checkout (including temporary authorizations, adjustments, and final capture consistent with your order). You understand that Buddee acts as a facilitator to place your order with the retailer you choose; title, risk of loss, product compliance, and regulatory obligations for goods remain with the retailer and its supply chain except where mandatory law says otherwise.
For assisted checkout, Buddee charges a flat CAD $1.99 technology and facilitation fee per order (shown in your estimate). We may place a temporary authorization of up to ten percent (10%) above the sum of your estimated retailer basket and that fee, to cover substitutions, weight-based pricing, and small price movements until the retailer confirms your final total.
Assisted checkout — what you see at pay time
Each store view shows your estimated basket and the amount we may temporarily authorize—similar to common grocery and delivery apps. You pick a store to pay securely through Buddee.
You may see a temporary authorization for up to ten percent (10%) above your estimated retailer basket plus Buddee's CAD $1.99 service fee; that combined amount is the authorization cap shown at checkout. Your final capture is the store-confirmed grocery total plus the CAD $1.99 Buddee fee. Unused hold funds are released according to your bank or card issuer.
Buddee is not your grocery store. We are a facilitator: we help you compare retailers and, when you pay through Buddee, transmit your order to the retailer you select. Product quality, substitutions, inventory, and pickup or delivery remain the retailer's responsibility.
For refund or adjustment requests when you pay through Buddee, contact us within twenty-four (24) hours of pickup or delivery (or of being notified that your order is ready), with clear photos of damaged, missing, or wrong items and any receipt or slip so we can review with the store. Late or undocumented requests may be declined, subject to non-waivable consumer rights.
Retailer coverage
In-app price comparison, branding, and store pickers may omit certain retail chains at Buddee's discretion. Fulfillment, substitutions, and final pricing remain with the retailer you choose.
Compare vs checkout coverage
The multi-store Compare view may include more retailers and use a lower “lines priced at this store” threshold than Buddee-assisted checkout. Sparse baskets may be labeled partial. Totals use your quantities; where a line is missing at a store, estimates may use the highest landed price for that cart line observed elsewhere (including substitute rows). Paying through Buddee requires the stricter per-store coverage used at checkout.
Accounts
You may need an account for certain features. You agree to provide accurate information, safeguard your credentials, and accept responsibility for activity under your account. We may suspend or terminate accounts that violate these Terms, abuse the Service, or create risk for others.
Verification and password-reset codes are sent to the address you provide when an account exists in Buddee's user store for your deployment and outbound email (SMTP) is configured on the server. Mail can be delayed or filtered; check spam and promotional folders. Password reset and similar emails are only triggered when your account is found in the user database connected to the application's data service—if you use multiple environments, the account must exist in the one your app is configured to use.
In development, operators may expose one-time codes in the app when email is unavailable; that behavior is never enabled on public production without explicit configuration.
Acceptable use
You will use the Service only for lawful personal or internal business purposes. You will not scrape, reverse engineer, circumvent security, transmit malware, impersonate others, or use the Service to compete with or harm Buddee, retailers, or users. We may rate-limit or block abusive traffic.
Pricing, estimates, and availability
Prices, fees, taxes, delivery or pickup estimates, and product availability shown in the Service are informational estimates sourced from retailers or public data. They may be incomplete, delayed, or incorrect. Final amounts and availability are confirmed by the retailer when your order is fulfilled. Buddee does not warrant that any estimate matches the retailer's final receipt.
Refunds, adjustments, and disputes
If you pay through Buddee and have a problem with your order (e.g. missing, damaged, or incorrect items), you must contact Buddee within twenty-four (24) hours of the stated pickup or delivery completion time, or within twenty-four (24) hours of being notified that your order is ready—whichever applies—unless a longer period is required by applicable law. Your message should include a clear description of the issue and, where relevant, photographs, packing slips, receipts, or other documentation we can use to review your request with the retailer.
Buddee may, in its discretion, coordinate with the retailer to seek a refund, credit, or replacement. Approval and timing may depend on retailer policies and payment network rules. Requests received late, without adequate documentation, or for issues outside Buddee's reasonable control may be denied in whole or in part. Nothing in this section limits any non-waivable statutory rights you may have as a consumer.
Third parties
The Service may reference or link to retailers, payment processors (e.g. Stripe), analytics providers, and other third parties. Their sites, apps, and terms apply when you use them. Buddee is not responsible for third-party content, conduct, outages, or privacy practices.
Intellectual property
The Service (including design, text, graphics, logos, and software) is owned by Buddee or its licensors. You may not copy, modify, distribute, or create derivative works except as allowed by law or with our prior written consent.
Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. BUDDEE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION WILL BE ACCURATE OR COMPLETE.
Buddee does not provide medical, nutritional, or allergen advice. You are solely responsible for verifying ingredients, allergens, and suitability of products with the retailer before consuming or relying on them.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BUDDEE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUDDEE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (I) CAD $100 AND (II) THE TOTAL FEES ACTUALLY RETAINED BY BUDDEE FOR THE PLACEMENT OR FACILITATION SERVICE (EXCLUDING PASS-THROUGH AMOUNTS FOR GROCERIES, TAXES COLLECTED FOR REMITTANCE, OR TIPS) THAT YOU PAID TO BUDDEE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR CLARITY, MOST GROCERY CHARGES ARE PASSED THROUGH OR ALLOCATED TO RETAILERS OR PROCESSORS; THAT CAP REFLECTS BUDDEE'S LIMITED ROLE.
Some jurisdictions do not allow certain limitations or exclusions. If you are a consumer, nothing in these Terms excludes or limits any rights or remedies that cannot be waived under the consumer protection laws of your province or territory of Canada (or other applicable law). Where a limitation is not enforceable, it will apply to the minimum extent necessary.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Buddee and its officers, directors, employees, and agents from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of third-party rights—except to the extent caused by Buddee's gross negligence or willful misconduct.
Release (retailer disputes)
To the fullest extent permitted by applicable law, you release Buddee from claims and damages arising from disputes primarily between you and a retailer or delivery partner concerning products, fulfillment, substitutions, or pricing at the retailer, except for claims based on Buddee's breach of these Terms or conduct that cannot be released under applicable law.
Governing law
These Terms are governed by the laws applicable in Canada, without regard to conflict-of-law rules that would require another jurisdiction's law. Subject to non-waivable rights, you agree that courts in Canada have jurisdiction over disputes arising from these Terms or the Service.
Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
Entire agreement
These Terms, together with our Privacy Policy and any additional terms presented at checkout, constitute the entire agreement between you and Buddee regarding the Service and supersede prior oral or written understandings on the same subject.
